These Terms of Use are written in plain English on purpose. They tell you what you can expect from MerryMax, and what we expect from you. If anything here is unclear, write to us at sales@merrymaxretail.com before you sign up — we would rather answer a question than argue about fine print later.
1. Agreement
MerryMax is a product of Bestman Exceed Software LLP, EC-278, Sector-I, Salt Lake, Kolkata-700 064, India ("we", "us"). By visiting merrymaxretail.com, creating an account, or using the application at app.merrymaxretail.com, you accept these terms. If you are signing up on behalf of a business, you confirm you have the authority to bind that business. If you do not agree with these terms, please do not use the service.
2. The service
MerryMax is cloud-based retail management software: POS billing, inventory, GST reports, purchases, accounting and customer credit ledgers, delivered as a subscription over the internet. It runs in a modern web browser — there is nothing to install.
Offline billing is part of the service: if your internet connection drops, billing continues in the browser and your data syncs automatically when the connection returns. Offline mode needs the app to have been loaded on that device at least once while online.
3. Your account
When you sign up, give us accurate information — your name, store name, mobile number and email. We use these to run your account and to reach you about billing and service matters.
- Keep your password and your cashiers' PINs safe. Anything done under your store's user logins is treated as done by you, so create separate users for your staff and remove access when someone leaves.
- One store business per tenant account. Branches and godowns/warehouses of the same business live inside one account (subject to your plan); a separate business needs a separate account.
- You must be able to enter into a contract under Indian law to open an account.
4. Free trial
Every new store gets a 14-day free trial with all features and no card details required. When the trial ends without a subscription, your store is locked: you can still log in and view or export your data (read-only), but billing and editing stop until you subscribe. We do not delete your data when the trial ends.
5. Plans & payment
Current plans and prices are always shown on our pricing page. Prices may change from time to time with notice, but a change only applies to future renewals — never to a period you have already paid for.
- Each plan has limits — billing counters, users, godowns/warehouses and item count — described on the pricing page. If you outgrow a limit, upgrade to the next plan.
- Payments are collected through Razorpay (UPI, cards, net banking). We do not see or store your card or UPI details.
- Subscriptions renew only when you pay. There is no auto-debit: near the end of a period we remind you, and you choose to renew. If you don't, the store locks in the same read-only state as an expired trial.
- A GST invoice is provided for every payment.
6. Refunds
Because the trial lets you test everything before paying, subscription payments are non-refundable once a subscription period starts, except where a refund is required by law or where a verified duplicate/double charge occurred. If you believe you have been billed in error, email sales@merrymaxretail.com with the payment reference and we will investigate promptly.
7. Your data
Everything you enter into MerryMax — items, bills, customers, suppliers, ledgers — belongs to you, not to us.
- You can export your data at any time in open formats (CSV, and Tally XML for accounting data), including while your store is in the read-only locked state.
- Every store's data is kept isolated from every other store's data (per-store isolation).
- We may keep aggregate, anonymized usage statistics (for example, how many bills the platform processed in a day) to improve the service. These never identify your store, your customers or your figures.

8. Acceptable use
Use MerryMax to run your store, lawfully. In particular, you must not:
- use the service for any unlawful purpose or to issue fraudulent invoices;
- resell, sublicense or offer the service to third parties as your own;
- attempt to access, probe or breach another store's data or our systems;
- place abusive load on the service, scrape it, or interfere with its operation.
One thing to be clear about: MerryMax is a tool, not a tax advisor. It produces GST-compliant invoices and reports based on the rates and details you configure, but GST and tax compliance for the bills you issue — correct rates, HSN codes, GSTIN details and timely filing — is your responsibility. When in doubt, ask your CA.
9. Availability & support
We target high availability and plan maintenance outside typical store hours where we can, but like every online service MerryMax is provided "as is" and "as available" — we cannot promise it will be uninterrupted or error-free. Offline billing exists precisely so that a connectivity problem does not stop your counter.

10. Limitation of liability
To the maximum extent permitted by law, the total liability of Bestman Exceed Software LLP for all claims arising out of or relating to the service is limited to the subscription fees you paid to us in the three (3) months before the event giving rise to the claim.
We are not liable for indirect or consequential losses — including lost profits, loss of business, consequences of data you entered incorrectly, or tax penalties and interest arising from the returns and bills you file. Nothing in this section limits liability that cannot be limited under Indian law.
11. Termination
- By you: cancel any time — since there is no auto-debit, simply don't renew. Your access continues to the end of the period you have paid for.
- By us: we may suspend or terminate access for non-payment or for a material breach of these terms (for example, attempting to breach another store's data). Where reasonable, we will warn you first.
- Your data on closure: if your account is closed, you get a reasonable window to export your data before it is removed from our systems.
12. Governing law
These terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal.
13. Changes to these terms
We may update these terms as the service evolves. The current version is always posted on this page with a new effective date, and material changes will be highlighted to you in the app or by email. Continuing to use MerryMax after an update means you accept the updated terms.
